From 18 November 2025, a major reform under the Economic Crime and Corporate Transparency Act 2023 comes into force: all company directors, LLP members, and Persons with Significant Control (PSCs) must verify their identity with Companies House. This is a mandatory requirement and failure to comply could result in criminal and civil penalties.

This change is part of a wider effort to improve corporate transparency, reduce fraud, and ensure the reliability of the UK’s company register.

Legal implications of missing the verification deadline

After 18 November 2025, a person cannot act as a director or LLP member unless they have verified their identity before the company submits its confirmation statement.

  • If someone continues to act without verifying their identity, and

  • If a company or LLP allows this to happen,

both the individual and the company/LLP will be committing a criminal offence.

In addition, Companies House may issue civil penalties. However, the validity of the acts of an unverified director or LLP member will be unaffected.

Who must verify and when
  • New directors and PSCs: Must verify their identity before they are appointed.

  • Existing directors: Must verify before filing the next confirmation statement.

  • Existing PSCs: Must verify within 14 days of the start of their birth month (unless also a director, in which case the confirmation statement deadline applies).

  • LLP members: Must follow the same rules as directors.

How to verify your identity

There are two main routes to complete identity verification:

  1. Directly with Companies House

    • Use the ‘Verify your identity for Companies House’ service via GOV.UK One Login.

    • This is free, and typically takes a few minutes.

    • You’ll need a valid photo ID (e.g. passport or driving licence), and may be asked to take a selfie or answer security questions.

    • Once verified, you’ll receive a personal verification code, which must be used for all future filings.

  2. Via an Authorised Corporate Service Provider (ACSP)

    • ACSPs include accountants, solicitors, and company formation agents who register as ACSPs with Companies House and offer ID verification services.

    • They can verify your identity on your behalf and submit the necessary information to Companies House.

    • This route may be preferable for individuals with complex circumstances or overseas documentation.
