Forma Innovations acquires sofco to further strengthen retail offering

We’re pleased to have advised Forma Innovations, a group focused on delivering software and services for the retail sector, on the acquisition of sofco Ltd.

sofco is a leading provider of integrated and collaborative end-to-end planning solutions – serving the retail sector, as well as leading global manufacturers and distributors of household brands.

The move strengthens Forma’s position in mission-critical retail software. The group now offers deeper capability across demand and supply chain planning.

Alongside sofco, Forma Innovations also brings together:

  • RMS – the provider of Metro, an all-in-one digital workplace for operations, compliance, HR, communications and workforce planning.

  • CADS - specialists in retail store planning, measured surveys and CAD services

  • StoreSpace Insights – an advanced space planning software platform used in over 20 countries to optimise layouts, drive efficiency and improve profitability

  • Prosper - a retail-focused design and architecture agency specialising in delivery, asset specification and standardisation.

With RMS, CADS, Prosper, Storespace Insights and now sofco, Forma provides a unique combination of retail planning, operational software and data-driven insights, helping retailers and brands to simplify, optimise and grow. It unites over 120 in-house specialists spanning software development, customer success, architecture and design, surveying, planning, retail operations, employee engagement and capacity/task impact planning.

James Paton-Philip, Partner in our Corporate team, assisted by Senior Associate Danielle Higgins, led on the provision of legal advice to Forma. The deal follows on from Forma’s acquisition of RMS in 2025, which the team also supported.
