Hill Dickinson advises Fox Brothers on sale to private equity firm Stellex Capital Management

Law firm Hill Dickinson’s Private Equity team has advised Blackpool-based haulier Fox Brothers Holdings Group on sale of the business to Stellex Capital Management.

As part of the acquisition, Fox Brothers will also merge with Preston-based J A Jackson, a quarry operator and producer of recycled aggregates and ready mixed concrete.

Fox Brothers’ chief executive Paul Fox remains at the helm, while Mark Joel and Andy Swinnerton join the company’s management team, taking on the roles of company chair and chief operating officer respectively.

Corporate partner Ian Gillis led for Hill Dickinson on provision of legal advice to the shareholders of Fox Brothers, together with James Down (Partner – Corporate), Matt Smith (Legal Director – Corporate), Harriet Adgie (Senior Associate – Corporate) and Alasdair Mackinnon (Partner – Banking); with assistance from Darren Hamer (Partner – Real Estate), Richard Kay (Legal Director – Employment Commercial), Matt Boyer (Associate – Corporate), Rachel Faulconbridge (Associate – Corporate), Belle Cottle (Associate – Banking) and Abigail Hill (Paralegal – Corporate).

Fox Brothers, a family firm established in 1932, provides services to the construction and infrastructure industry, including muck-away, haulage of aggregates, production of recycled aggregates, waste recycling, quarry operations and ready-mix concrete production.

The business currently employs around 600 people and has operating licences for 119 trucks and 26 trailers.
