We’re pleased to have supported Testing, Inspection, Certification and Compliance (TICC) group, Phenna Group, in its acquisition of Ventilate (comprising Ventilate Consultancy & Control Ltd and Ventilate Grease Control Ltd).

Founded in 2012 and operating across the UK, Ventilate supports clients primarily within the real estate and hospitality sectors, working with large property owners, facilities management providers and multi-site operators. The business delivers a range of specialist services through its two operating entities.

Ventilate Consultancy & Control provides independent kitchen ventilation consultancy and compliance services, including extract system audits, design reviews, and fit-out verification. Ventilate Grease Control focuses on FOG management inspection, network protection and consultancy services, supporting the real estate sector and infrastructure stakeholders.

Acquiring Ventilate – Phenna Group’s eighth M&A deal of 2026 – brings Phenna established access to real estate, facilities management and multi-site hospitality customers within its certification and compliance division. Ventilate will work alongside ECAS, which has strong relationships with UK water companies and infrastructure clients. The combination enhances Phenna Group's ability to provide end-to-end compliance services spanning inspection, audit, consultancy and network protection.

Our Corporate team – led by Partner Nick Dawson, Senior Associate Tom Wisniewski and Associate Chloe Lovelock – acted as lead legal advisers to long-standing client Phenna Group.

Supporting Phenna Group on its eighth acquisition of the year reflects the pace and ambition of its growth strategy. It was a pleasure to work with the Phenna team on another successful transaction and to draw on the combined expertise of our deal team to help deliver a smooth and timely acquisition.
