We’re pleased to have advised TXP, a portfolio company of Aliter Capital, in acquiring Vigil, an Amazon Web Services (AWS) Select Tier Services Partner.

Vigil has deep expertise in AWS-based cloud transformation, software engineering and tech advisory services, complementing and further expanding TXP’s existing cloud skills and service delivery capabilities.

Our Private Equity team, led by Partner David Mkhitarian and Legal Director Olivia Jones, acted as lead legal advisors to TXP.

With a dedicated technology team of nearly 100 people based largely in Portugal and Brazil, Vigil supports a high-profile client list including ITV, Trainline, Convex and DC Thomson Group. Vigil’s software engineering capability will expand TXP’s nearshore and offshore offering, with the acquisition aligned to Aliter Capital’s buy-and-build strategy to create a UK leading digital transformation provider.

John Antunes, CEO at TXP, said: “Vigil’s best in class AWS skills dovetail with our existing Microsoft capabilities, meaning we can now offer customers more choice and expanded technical expertise. This promises to open up a broad range of new opportunities, as we help organisations to modernise their businesses at scale and pace.”

It’s a pleasure to have supported TXP on this strategic acquisition. Vigil’s AWS expertise and offshore delivery capabilities will significantly strengthen TXP’s offering and accelerate its growth ambitions. The deal is another excellent demonstration of our ability to guide complex, private equity-backed transactions as we continue to build long-term relationships and support build-and-build strategies.
