James is a Partner in the Corporate team in London, advising both private and public listed companies on a wide range of domestic and international transactions.

He has a particular focus on the technology (particularly the IT services sector), financial services, life sciences, medicinal cannabis/hemp and leisure sectors, advising clients across the full breadth of their lifecycle, from start-up to exit.

The capital markets side of James’ practice is represented by issuers (particularly those admitted to AIM and AQSE (previously NEX)) and by banks. He has acted on a variety of flotations, reverse takeovers, placings and open offers. James regularly advises on M&A transactions (both for vendors and for purchasers), as well as on joint ventures, share buybacks and other corporate reorganisations, focussing on the SME market. He also has a niche in the venture capital space, advising fast growth companies and investors on the intricacies of investment transactions.

James has also served as in-house counsel for both Rothschild & Co and RBS Insurance.

    • Advised the shareholders of whyaye, a UK-based consulting services provider for the ServiceNow platform, on the sale of whyaye to global consultancy, EY.
    • Advised the shareholders of Engage ESM, a leading provider in the enterprise service management sector and a ServiceNow Gold Services Partner, on the sale of Engage ESM to Paris-listed Atos, a global leader in digital services. 
    • Advised the lead investor on an £8.75m investment into Causeway Therapeutics, a University of Glasgow spin-out specialising in tendon disease, to advance the development of microRNA therapeutics.
    • Advised the Nomad on the AIM IPO of a life sciences business. 
    • Advised a developer of UCaaS solutions on its sale to an AIM-listed business which is a leading supplier of voice, data and mobile products and services in the UK. 
    • Advised a life sciences business on its AIM IPO and placing.
    • Acted for the sellers of an FX business on its sale to the largest independent FX operator in the UK. 
    • Advised a behavioural data analytics business on its four million pound investment from MMC Ventures as well as the follow on seven million pound investment from MMC and a new investor. 
    • Acted for a restaurant group on its sixty five million pound admission to AIM (including a twenty five million pound placing, two acquisitions and a debt refinance). 
    • Advised the Nomad and broker on the proposed first AIM IPO of a blockchain-enabled payments business. 
    • Advised the vehicle managed by a global wealth management business on the acquisition of a worldwide financial planning firm. 
    • Advised an aviation business on its buyout by a PE house. 
    • Advised a US fund on its investments into a software development business.
