Rebecca Layton

Rebecca is a legal director in the Banking and Finance Team based in our Liverpool office.

Rebecca has acted for a wide range of clients including Coutts, Arbuthnot Latham, Bank of Ireland, HSBC and Lloyds as well as various corporate clients including the Downing Group, Sinclair Pharma PLC, the Elliot Group and the Challenge Recruitment Group.

She has experience working on a variety of transactions including real estate finance (both acquisition and development) and corporate acquisition finance with a particular expertise on advising Irish financial institutions on transactions with a cross-border element.

Rebecca has developed new and growing relationships with Ingenious Real Estate Finance, Paragon Development Finance and Secure Trust Bank and regularly works with the London Real Estate Team to service these clients.

Experience
Acted for developer-operator Downing in respect of funding aspects of its £439 million student accommodation joint venture with European Property Investors Special Opportunities. Senior financing for the portfolio of 2,756 student beds in six residences in leading university cities across the United Kingdom was provided by AIG
Acted for Betfred Group in connection with its £195 million refinance to help fund the purchase of more than 300 betting shops from Ladbrokes and Gala Coral
Acted for Halewood International Limited in connection with its £50 million property, inventory, plant and machinery and receivables financing facilities to, inter alia, refinance existing indebtedness with Lloyds Bank plc and to provide facilities for two acquisitions
Acting for Bibby Financial Services Limited in connection with its 150 million euros facility made available by HSBC to Bibby to fund its Irish, Dutch and German operations
Acting for Lloyds Bank plc in connection with a £30 million facility to an equity backed vehicle set up to acquire a listed plc and related simultaneous IPO
Acted for Santander in connection with growth capital facilities made available to Lola’s Cupcakes
National Westminster Bank plc in connection with the £10 million restructuring of Facilities to Burger and Lobster Group to provide working capital for restaurant roll-out across the UK
Acted for Downing Group in connection with facilities of £28 million from HSBC Bank plc for a student accommodation project in Coventry comprising 590 purpose built student beds
Acted for regular client Edward Billington & Son Limited in connection with the funded acquisition of Dunkleys Limited which involved the renegotiation of its £15 million facilities with Barclays Bank plc
Acted for Hyde Park Finance Ltd in connection with development facilities to a customer for a student accommodation development in Nottingham
