Sam is an experienced corporate lawyer and has worked with clients on a broad range of transactions across multiple sectors. In particular, Sam acts for a number of listed companies whose shares are admitted to trading on AIM, the Main Market of the London Stock Exchange and Aquis. He has worked with these companies, as well as nominated advisers and brokers, on initial public offerings, secondary fundraisings, reverse takeovers and M&A transactions.
Additionally, Sam works with private companies on array of transactions, including acquisitions, disposals, joint ventures, group reorganisations and fundraising.
Sam’s experience covers a number of sectors, including natural resources, life sciences, medical, property, and banking and finance.

- Acting for ASX-listed Artemis Resources Limited and Future Metals NL on their dual-listings on AIM
- Acted for AIM-listed Arc Minerals on multiple disposals, secondary fundraisings and their joint venture arrangements with Anglo American
- Acting for Fox Marble Holdings Plc on its reverse takeover by Eco Buildings Group Limited, readmission to AIM and associated placing

- Advised Sativa Group on its takeover by Stillcanna Inc by way of a scheme of arrangement, the first public takeover of a UK company operating in the medical cannabis and CBD wellness sector
- Acted on the sale of eLight Group Holdings Limited to eEnergy Group Plc
- Advised Bradda Head Holdings Limited, a lithium exploration company, on its admission to AIM and associated £6.2m placing, as well as a $10 million fundraise from investors in Canada and the UK
- Advised on the disposal of The Orange Square Company Ltd, a family-owned distributor of niche and luxury perfumes, to Fontaine Limited (backed by BlackRock)
- Advised Maestro Technologies Ltd, an experienced owner and operator of fibre networks, on the disposal of a majority interest in Digital Infrastructure Limited to Basalt Infrastructure Partners Fund.
