Justine is a senior associate in our corporate and commercial healthcare team. As a qualified doctor with a background in medicine, her particular interests and expertise lie in primary care. She deals with mergers, acquisitions, disposals, incorporations, and partnership matters.

Details

Justine has over 15 years of corporate and commercial experience. With dual qualifications in both medicine and law, Justine is uniquely placed to appreciate the challenges the healthcare sector and its ever evolving landscape provides. Outside of general practice Justine has worked with pharmacies, dental practices, NHS Trusts, ICBs and private providers. Focussing on practice acquisitions and disposals, contractual and cooperative joint ventures, partnership and shareholder agreements, company constitutions and a wide range of commercial agreements. 

Before specialising in Healthcare Justine established her general corporate career in the life science and ‘big pharma,’ insurance, telecoms, and publishing sectors.

Justine prides herself on providing good customer service and value for money. Clients describe Justine as ‘extremely diligent and responsive’, ‘really good and helpful’ and have said they appreciate her pragmatic and commercial advice. 

Justine understands the key elements and importance of a well drafted and robust partnership agreement to head off partner disputes and the requirements for a successful GP practice merger. She has also been deeply involved in Primary Care Networks since their inception helping clients to:

  • establish their PCN network structure and governance;  
  • transition to an incorporated model with NHS pension scheme access;
  • subcontract or outsource their Network Contract DES,

and providing them with scalable solutions.

As a Wolfson Foundation Scholar at Imperial College London Justine completed her MBBS and Bachelor of Science degree in Neuroscience with first class honours. She later converted to law completing the postgraduate diploma in law with distinction and the legal practice course, also with distinction, at the College of Law, Guilford.

    • Advising numerous partnerships on key commercial terms for their partnership agreements including ‘new to partnership scheme’ monies, last man standing, 24 hour retirement and issues around long term sickness and property ownership
    • Providing guidance and support to GP partners in respect of rights relating to both voluntary and involuntary retirement (with and without grounds) and the effect thereof
    • Establishing the framework and contractual documentation for the provision of healthcare services for and on behalf of PCN members and providing advice in relation to NHS Pension Scheme access and HMRC’s Trust Registration Service
    • Assisting Primary Care Networks with incorporation, drafting the requisite constitutional and ancillary documentation
    • Offering structuring advice, assisting with due diligence, and preparing the required documentation for GP partners looking to merge, acquire or dispose of their practice either to expand their business or as part of their succession planning.

Justine Lee's Expertise
