Lorraine is a senior associate in the Hong Kong Shipping Finance team. Her expertise covers ship finance, ship sale and purchase and ship registration. She is dual qualified (Hong Kong, England and Wales), fluent in English, Cantonese and Mandarin.

Details

Prior to joining the firm, Lorraine has been a managing associate at a leading law firm. She has many years’ experience in acting for banks and financial institutions, shipbuilders, shiponwners on a broad range of transactions.

Lorraine advises clients on financing and ownership structures, corporate structuring in respect of ship-owning interests including the formation of companies, the sale and purchase of ships, mergers and acquisitions, joint ventures, vessel and naval mortgage registration, as well as other non-contentious corporate matters such as leasing transactions, structured finance, refinancing, workouts and debt restructuring.

Lorraine completed her Juris Doctor degree with distinction as well as her Post Graduate Certificate in Laws at the City University of Hong Kong. She also has an Electrical Engineering degree from Queen’s University in Canada.

  • Experience

    • Advised and represented various Taiwanese banks in respect of pre- and post- delivery term loan facilities of up to US$135,000,000 to a very prominent Taiwan-based shipping company for financing of three newbuilding capsize bulk carriers.
    • Advised and represented a major PRC bank in respect of banking facilities to finance the purchases of various vessels by China-based shipping companies.
    • Advised a syndicate of banks in respect of a post-delivery term loan facility of up to USD30,000,000 for financing of a 2nd hand capsize dry bulk carrier.
    • Acting for lenders in relation to a post-delivery financing of up to USD66,800,000 to a well-established China-based shipping company for the purpose of financing the acquisition costs of five newbuildings.
    • Advised and represented a Korean shipowner in the purchase of two vessels from a Greek owner. Responsibilities included daily correspondence with the shipowner’s brokers, drafting of the buyer’s delivery documents, review of the Greek seller’s documentation and in respect of the closing meeting. 
    • Advised and represented a Greek owner in the purchase of a vessel from a court sale by the High Court of Hong Kong. Responsibilities included assist with bidding of the vessel, liaising with the Court appointed counsel and bailiff, liaising with Greek buyer’s financier, reviewing court’s delivery documents and completing sale and purchase of the vessel.
    • Advised a major Norwegian ship owning company in respect of acquisition and registration of title of over 20 vessels with the Hong Kong Shipping Registry.
